1. Purpose of Vendor Engagement
Sports Technology LLC (“Sports Tech,” “we,” “us,” or “our”) exists to serve its members—technology professionals working within sports organizations. Vendors (“you” or “Vendor”) may engage only in limited, clearly defined contexts to support informed decision-making by members. Vendor participation is a privilege, not a right.
2. Strict Separation of Vendor and Member Ecosystems
Sports Tech enforces a hard boundary between vendors and the internal member ecosystem.
- Vendors are not permitted to join internal member spaces.
- Vendors may not view internal discussions, documents, directories, or member profiles.
- Vendors may not contact members unless explicitly invited by a member.
- Vendors may not scrape, harvest, infer, or collect member data in any form.
3. Opt-In Engagement Only
Vendor interaction with members is explicitly opt-in. Members choose whether to participate in vendor spaces or conversations. Vendors may not pressure, incentivize, or coerce participation and may not imply endorsement by Sports Tech or its members.
Sports Tech does not provide vendors with member lists, contact details, or engagement analytics beyond what is publicly visible in an external space.
4. Acceptable Vendor Conduct
Vendors must engage professionally and transparently.
- Represent products and capabilities accurately.
- Engage respectfully and in good faith.
- Avoid aggressive sales tactics and spam.
- Follow all platform rules and moderator guidance.
Prohibited behavior includes:
- Unsolicited outreach, mass messaging, or automated follow-ups.
- Attempting to bypass platform controls or access restrictions.
- Competitive disparagement or misleading comparisons.
- Misrepresenting any relationship with Sports Tech or its members.
5. Data Use & Confidentiality
Vendors acknowledge that information shared by members is confidential unless explicitly stated otherwise. Vendor access does not grant rights to reuse, store, analyze, or distribute member information.
- No recording sessions without explicit consent.
- No external sharing of screenshots, quotes, or content without written permission.
- No use of member feedback in marketing without written permission.
6. No Endorsement or Guarantee
Participation does not constitute endorsement. Sports Tech does not certify vendors, and member participation does not imply purchasing intent. Vendors are responsible for their own compliance and due diligence.
7. Intellectual Property
Each party retains ownership of its intellectual property.
- Vendors may not use Sports Tech branding, logos, or member names without written permission.
- Vendors may not publicly reference Sports Tech participation without written approval.
8. Monitoring & Enforcement
Sports Tech may monitor vendor activity in external spaces and may remove content or restrict access at its discretion. Violations may result in immediate suspension or termination. No refunds or credits are guaranteed if access is revoked due to misconduct.
9. Limitation of Liability
To the maximum extent permitted by law, Sports Tech is not responsible for vendor outcomes, sales, or business decisions and is not liable for damages arising from vendor-member interactions.
10. Indemnification
Vendors agree to indemnify and hold harmless Sports Technology LLC, its affiliates, and the community from any claims, damages, or liabilities arising from vendor products or services, misrepresentation, data misuse, or legal violations.
11. Termination
Sports Tech may terminate vendor access immediately, without notice, for any reason including violations of these Vendor Terms. Upon termination, all vendor access must cease immediately.
12. Changes to Vendor Terms
These Vendor Terms may be updated periodically. Continued participation constitutes acceptance of updated terms.
13. Governing Law
These Vendor Terms are governed by the laws of the State of [Insert State], without regard to conflict-of-law principles.
